Terms of Service

Version 3.0, 16 October 2026

These terms apply to everything GuifiLab sells or delivers: the licences in the shop on guifilab.nl and guifilab.com (Subtitle Studio, edelkrone control, Social Guidelines and other software) and, where relevant, our custom work. For custom development, consultancy and the WordPress modules we set up for you on request, the arrangements in our quote and order confirmation apply as well. How you may use the software is set out in the software licence terms. Your right to a refund is set out in the refund policy. For each product, the compatibility page shows what it works with.

1. Who we are

GuifiLab is a trade name of Guifi BV, Oude Apeldoornseweg 41, 7333 NR Apeldoorn, the Netherlands, Chamber of Commerce 56794398, VAT NL852304870.B01. You can reach us at support@guifi.nl or +31 85 401 26 87. In these terms we call ourselves “GuifiLab” or “we”. You are the person or organisation buying or using something from us (“you”).

2. What we make: the interface

We make the interface. We bring together existing services, devices and open-source components from others, and build a screen and a way of working around them. The speech recognition in Subtitle Studio is not ours, the motors from edelkrone are not ours, and the platforms whose safe zones Social Guidelines shows are not ours. What we make is the software that lets them work together.

That has a consequence you should know up front: our software only works as long as the parts from others keep working.

3. What our software depends on

Each product relies on parties outside GuifiLab. These are the main ones. The current status per product is on the compatibility page.

Product Depends in part on
Subtitle Studio The Whisper speech models and other open-source components (such as faster-whisper, MLX, ffmpeg and pyannote), Apple and macOS, and, if you switch them on yourself: OpenAI, Anthropic, Google, Mistral and Hugging Face
edelkrone control The official edelkrone SDK and the firmware of your edelkrone devices, Apple and macOS (including Bluetooth)
Social Guidelines Adobe Premiere Pro, DaVinci Resolve (Blackmagic Design) and the platforms themselves (Instagram, TikTok, Snapchat, LinkedIn), because their screen layouts change
All products Mollie for payments, our hosting and update servers, and an internet connection for the licence check

4. What if a party breaks the connection?

A party can change or break the connection at any time. Think of new firmware or an SDK change from edelkrone, a model that Whisper, OpenAI or Hugging Face stops offering or changes, a new version of macOS, Figma, Premiere Pro or DaVinci Resolve, or a service that gets more expensive or shuts down. Our software then works only in part, or not at all. We have no influence over that.

Therefore:

  • No guarantee. We do not promise that a party keeps offering, or leaves unchanged, its connection, SDK, API, model, firmware or service.
  • We do our best. If we can reasonably adapt the software, we will do so within a reasonable time. How long that takes depends on what the party changes and how much information we get about it. Sometimes it is not possible.
  • You hear from us. As soon as we know a connection no longer works, we say so on the compatibility page. For firmware, SDK and macOS updates, that page also says whether the new version works with our software. Wait with updating until it says so.
  • No refund. If the software stops working, or works only in part, because another party breaks or changes the connection, you get no refund, no discount and no credit for it. That applies to a temporary outage and also if it is permanent, and also not pro rata for the remaining term. This is the risk of software built on other parties’ components, which is why we state it here.
  • You can cancel. You can always cancel for the next period (see article 8), so you do not renew something that no longer works.

This article does not affect the money-back right in article 10 or the rights you always have by law (article 12).

5. Costs and keys at third parties

If you use a service from another party, such as your own key for OpenAI, Anthropic, Google, Mistral or Hugging Face, you enter into a separate agreement with that party. Its costs and terms are for your account. We are not a party to it. If such a party changes its prices or terms, that can also affect you.

6. The offer and prices

Our software is intended for professional use by businesses, organisations and freelancers. You can also order as a consumer; the consumer rules in these terms then apply to you. Each product page shows what a licence includes, for which period and at what price. All prices exclude VAT. The cart shows the VAT and the total before you pay. Business customers in the EU with a valid VAT number are charged no Dutch VAT (reverse charge). Obvious errors in the offer do not bind us.

7. The agreement

The agreement is formed once you have paid for your order. You receive a confirmation and your licence key by email. The key is also shown in My account.

8. Term, renewal and cancelling

  • Yearly licences run for one year and renew automatically for another year at the price in effect at that time. We send you a reminder beforehand.
  • Monthly licences run for 30 days and renew automatically.
  • If a product has an introductory price, for example a lower price for the first year, the regular price applies on renewal. Both prices are shown with the product.
  • You cancel through My account or by email. The licence keeps working until the end of the paid period. You get no refund for that period, except as set out in article 10 and article 12.
  • If you are a consumer, after the first period you can cancel at any time with one month’s notice. Anything you paid in advance for the remaining time is refunded pro rata.

9. Payment

You pay in advance via Mollie, using iDEAL, credit card or SEPA direct debit, among others. If an automatic renewal fails, we let you know. If payment has not been made within 14 days, we may suspend the licence.

10. Cooling-off and money back

Every new licence comes with 14 days money back, even if you have already activated it. This applies to consumers and business customers alike. There is no separate trial period: you can try Subtitle Studio Budget with the free trial version of 3 videos per Mac (see the product page). See the refund policy for how money back works. This does not apply to renewals, which you can cancel beforehand. After the 14 days you get no money back because another party breaks the connection (article 4).

11. Beta software

Software we offer as beta is still in development. It usually works well, but may contain bugs and may change. Do not rely on beta software as your only means on shoots or work where a lot is at stake.

12. Updates, support and your statutory rights

As long as your licence runs, you get the product’s updates at no extra cost. We give support by email on working days. We reply as quickly as we can, but do not promise a fixed response time unless we agree one with you separately.

If you are a consumer, you keep the rights the law always gives you. Nothing in these terms takes those rights away.

13. Liability

Our software is a tool. You remain responsible for what you make and publish with it, such as the accuracy of subtitles, and for the safe use of your equipment.

  • We are not liable for damage that arises because another party changes, breaks or discontinues its connection, SDK, API, model, firmware or service, or because of an outage at such a party. That includes consequential loss, such as missed shoots, missed deadlines or lost revenue.
  • We are not liable for damage to equipment or recordings that arises because you update firmware, macOS or other software before we have said the new version works.
  • For the rest, we are only liable for direct damage, and up to the amount you paid us for the licence concerned in the 12 months before the damage.
  • These limits do not apply in case of intent or gross negligence on our part, not to damage for which the law does not allow liability to be excluded, and they do not affect your statutory rights as a consumer.

14. Force majeure

In case of force majeure we do not have to meet our obligations for the time being. Think of outages at suppliers or hosting, loss of internet or power, or changes to services of others that our software relies on (article 4).

15. Privacy

Your video, audio and subtitles stay on your own Mac: our software processes them locally. The software occasionally checks online whether your licence is valid, and asks our update server whether there is a new version. If you choose a service from another party yourself (such as a cloud AI with your own key), the text goes straight from your Mac to that party; their terms and privacy rules then apply. What else we do with your data is set out in the privacy statement.

16. Complaints

If you are unhappy with something, email support@guifi.nl. We reply within 14 days. If we cannot resolve it together, article 17 applies.

17. Changes and governing law

We may change these terms. We announce important changes by email at least 30 days in advance. If you do not agree, you can cancel before they take effect. These terms are governed by Dutch law. Disputes go to the competent court in the Gelderland district, unless the law gives you, as a consumer, another court.
